Securities and Investor Disputes

Director and Officer Liability:

Directors and officers are often subject to claims for breach of duties they owe to their company or its shareholders, and their company can be sued for harm it caused because of their actions.  Sometimes directors and officers are sued by third parties whose dispute is primarily with the company.  Claims can include breach of fiduciary duty, corporate waste, fraud, embezzlement, and RICO claims. Knowles Gallant attorneys represent both claimants and defendants in these matters, including assistance with issues related to directors and officers insurance policies.

Investor Disputes:

Knowles Gallant attorneys have successfully defended investment advisors and have also obtained seven-figure judgements on behalf of investors who suffered damages due to the negligent or fraudulent acts of investment advisors or company representatives.

Shareholder Derivative Suits:

A shareholder derivative suit is a lawsuit brought by a shareholder on behalf of a corporation when the shareholder claims that the corporation has failed to take needed legal action on its own behalf. These lawsuits are subject to specialized procedures because they alter the traditional roles in which management of a corporation is typically responsible for initiating and defending litigation in the name of the corporation. Knowles Gallant attorneys are experienced with bringing and defending against these lawsuits.
